1. Who we are
Delvora is operated by Delvora P.S.A., a simple joint-stock company (prosta spółka akcyjna) registered in Poland, with its registered office at Aleja Jana Pawła II 27, 00-867 Warszawa, Poland, entered in the National Court Register (KRS) kept by the District Court for the Capital City of Warsaw in Warsaw, XIII Commercial Division of the National Court Register, under number 0001266798, NIP 5273236974, REGON 545745040, share capital PLN 1,000.00 ("Delvora", "we", "us"). You can reach us at casper@delvora.io.
2. Acceptance of these Terms
These Terms of Service ("Terms") govern your access to and use of the website at delvora.io, the web application at app.delvora.io, and related services (together, the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy.
The Service is intended for businesses and professionals. If you use the Service on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and "you" refers to that organisation. The Service is not offered to consumers within the meaning of the Polish Civil Code or to persons under 18.
3. The Service
Delvora is a software-as-a-service platform for influencer marketing. Depending on your plan, it allows you to search and analyse public social media creator profiles, organise creators into campaigns, manage outreach, collect creator applications through signup pages, automatically track published posts, reels and stories, monitor brand mentions and competitors, and generate reports.
We may add, change or remove features over time. Where a change materially reduces the core functionality you pay for, we will notify you in advance by email or in the application.
4. Accounts and organisations
- You must provide accurate information when registering and keep it up to date.
- You are responsible for all activity under your account and for keeping your credentials secure. Tell us promptly at casper@delvora.io if you suspect unauthorised access.
- Accounts belong to an organisation workspace. Organisation administrators can invite, manage and remove members and can view data created by members within that workspace.
- Authentication is provided through a third-party identity provider. Their terms apply to the login process.
5. Free trial
We may offer a free trial for a limited period. Trials may have reduced limits. Unless you start a paid subscription before the trial ends, your access to paid features will stop and we may delete trial data after 30 days. We may change or withdraw trial offers at any time.
6. Subscriptions, billing and taxes
- Plans and prices. Current plans and prices are shown on delvora.io/#pricing or in a written quote. Prices are stated in euro and exclude VAT and other applicable taxes, which will be added where required.
- Payment processor. Payments are processed by Stripe Payments Europe, Ltd. and its affiliates ("Stripe"). We do not store your full card details. Stripe's terms and privacy policy apply to the payment process.
- Billing cycle and auto-renewal. Subscriptions are billed in advance for each billing period (monthly or annual, as selected). Your subscription renews automatically at the end of each period at the then-current price unless you cancel before the renewal date.
- Usage limits. Plans may include usage limits (for example, number of searches, analyses or tracked profiles). If you exceed a limit we may ask you to upgrade, or charge overage at the rates shown on the pricing page or in your quote.
- Price changes. We may change prices with at least 30 days' notice by email. The new price applies from your next renewal after the notice period. If you do not agree, you may cancel before the renewal.
- Failed payments. If a payment fails we will retry and notify you. If payment is not received within 14 days we may suspend the Service until the balance is settled.
- Invoices. Invoices are issued electronically and are available in your billing settings. You agree to receive invoices in electronic form.
7. Cancellation and refunds
You can cancel your subscription at any time from the billing settings in the application or by emailing casper@delvora.io. Cancellation takes effect at the end of the current billing period, and you keep access until then. Fees already paid are non-refundable except as set out in our Refund and Cancellation Policy or where required by law.
8. Acceptable use
You agree not to, and not to allow others to:
- use the Service in violation of any applicable law, including data protection, advertising, consumer protection and anti-spam laws;
- use creator data obtained through the Service for any purpose other than evaluating, contacting and managing creators for legitimate marketing campaigns;
- send unsolicited bulk messages, harass creators, or contact creators in a way that breaches the rules of the platform they are on;
- resell, sublicense, scrape, bulk-export or otherwise redistribute data from the Service, or build a competing database or service with it;
- reverse engineer, probe, or attempt to bypass security or usage limits of the Service;
- upload content that is unlawful, infringing, defamatory or contains malware;
- share account credentials or allow access by people outside your organisation;
- use the Service to make decisions that produce legal or similarly significant effects on individuals.
You are responsible for ensuring that your campaigns, your communications with creators and any sponsored content comply with applicable advertising disclosure rules.
9. Third-party platforms and creator data
The Service collects and analyses information that creators have made publicly available on social media platforms such as Instagram, TikTok and YouTube, and information that creators submit to you through Delvora signup pages. Delvora is not affiliated with, endorsed by or sponsored by Meta, TikTok, Google or any other platform. Platform data may be incomplete, delayed or inaccurate, and metrics such as views may be estimated where a platform does not expose native counts. We do not guarantee the accuracy of platform data.
When you connect a third-party account (for example a Shopify store) you authorise us to access it on your behalf to the extent needed to provide the relevant feature, and you confirm you are permitted to do so.
10. Your data
- You retain all rights to data you upload or create in the Service, including campaign details, notes, creator lists and reports ("Customer Data").
- You grant us a licence to host, process, display and transmit Customer Data only as needed to provide and improve the Service and as described in the Privacy Policy.
- Where we process personal data on your behalf (for example creator contact details you collect), we act as your processor and the terms of our Data Processing Addendum apply.
- You are responsible for having a lawful basis for the personal data you enter into the Service.
- After termination we will make Customer Data available for export for 30 days and then delete it, except where retention is required by law.
11. Intellectual property
The Service, including its software, design, databases, aggregated data and trademarks, is owned by Delvora or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during your subscription in accordance with these Terms. No other rights are granted. If you send us feedback, we may use it without obligation to you.
12. AI-generated output
Parts of the Service use machine learning models, including models from third-party providers, to categorise content, estimate audience characteristics and generate summaries or suggestions. This output is provided to assist your judgement and may be inaccurate. You are responsible for verifying it before relying on it, and we are not liable for decisions you make based on it.
13. Confidentiality
Each party will keep the other's non-public information confidential and use it only for the purposes of these Terms, except where disclosure is required by law. This obligation survives termination for three years.
14. Availability and changes
We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may suspend the Service for maintenance, security reasons or events beyond our control, and will try to give notice where practical. We may update these Terms. For material changes we will give at least 14 days' notice by email or in the application. Continued use after the effective date constitutes acceptance. If you do not agree, you may cancel before the change takes effect.
15. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including fitness for a particular purpose, non-infringement, and the accuracy or completeness of any data, metrics or AI-generated content. We do not warrant that any creator will respond to you or that any campaign will achieve particular results.
16. Limitation of liability
To the fullest extent permitted by law:
- neither party is liable for indirect, incidental, special or consequential damages, loss of profits, revenue, data or goodwill, arising from or related to these Terms;
- our total aggregate liability arising from or related to the Service in any 12-month period is limited to the fees you paid to us in that period.
These limitations do not apply to liability for wilful misconduct, death or personal injury, or any liability that cannot be limited under applicable law.
17. Indemnity
You will defend and indemnify Delvora against third-party claims, damages and costs arising from your Customer Data, your campaigns and communications with creators, or your breach of these Terms or applicable law.
18. Termination
You may terminate by cancelling your subscription and closing your account. We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay, or if your use creates legal or security risk for us or others. We will notify you and, where the breach is curable, give you a reasonable chance to fix it. Sections that by their nature should survive (including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability and governing law) survive termination.
19. Governing law and disputes
These Terms are governed by the laws of Poland, excluding its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute will be submitted to the common court having jurisdiction over our registered office. Before starting proceedings, the parties will try in good faith to resolve the dispute by negotiation for at least 30 days.
20. General
- These Terms, the Privacy Policy, the Refund and Cancellation Policy and any order form or quote form the entire agreement between us regarding the Service.
- If any provision is found unenforceable, the rest remains in effect.
- You may not assign these Terms without our consent. We may assign them to an affiliate or successor.
- Failure to enforce a provision is not a waiver.
- Notices to you will be sent to the email address on your account. Notices to us should go to casper@delvora.io.
- Neither party is liable for delays caused by events beyond its reasonable control.
